Grand
Soleil Charters (Ireland) Ltd. proposes to purchase two Grand Soleil
56 yachts under a Business Expansion Scheme (BES) for luxury Skippered
Charter.
The
yachts will be managed by 'Sail Ireland' from their base in Kinsale,
County Cork for the five-year period of the BES.

All monies raised will be used to purchase two Grand Soleil 56 yachts
and carry out the three year Marketing Plan as submitted to 'Failte
Ireland'.
All other running costs will be paid by the core business of Skippered
Charter, to include Insurance, Maintenance, Marina and Administration
charges.

| Each
yacht will cost circa €950,000 (see specification) and will be
finished to the highest possible standards. |

| No
borrowings or charges will be allowed on the yachts without the written
permission of the Shareholders. |

| It
is proposed to raise €2,000,000 in BES funds over the period
2007/2009. Investments are invited from Individuals or Syndicates,
the minimum investment is €50,000 (€29,500 after tax relief).
An individual may invest €150,000 per annum and the investment
can be spread over three years 2007, 2008 and 2009.
An
investor who cannot obtain relief on his/her investment in the year
of assessment can carry forward the unrelieved amount to following
years up to and including 2113.
The
Shareholders will wholly own the BES company. There will be a Management
agreement with Sail Ireland, which will set out the responsibilities
of each party.

During
the winter season in Ireland these yachts will be chartered in the
Caribbean or other winter Sunshine location.
When
the yachts are not on Charter in Ireland or during the 'off season',
Investors
will have an opportunity to Charter the yachts with Skipper and
crew at substantially reduced rates.

For each €50K invested one week in the off-season will be allocated
to the Investor/syndicate or their nominee. See FAQ's for more information.
Cost
of Chartering this style of luxury yacht including skipper and crew
vary from €9,000 to €13,000 per week depending on the
location and season.

| The
new Grand Soleil 56' [56 foot in length] is designed by Philippe Briand.
It is the latest demonstration of Cantiere del Pardo's philosophy
of building a high performance sailing yacht which is easy to sail,
even shorthanded and does not compromise comfort and luxury.
There
are three en-suite double cabins with an additional single berth
in one of the aft cabins. Separate skipper/crew accommodation is
provided in a forward cabin with separate access from the deck.
There
is a luxurious finish throughout and like her successful sister
ships in the Grand Soleil range, she offers a modern hull and an
efficient deck plan. Simple and clean, the Grand Soleil 56' is designed
for both racing and safe long distance cruising.
